Specialty financing is a concept that AMT
Capital has refined which utilizes a combination
of tangible assets such as cash, idle production,
unsold capacity, patent, trademark or licensing
rights, future production, unsold franchises
and/or equity and convertible debt securities
to acquire goods and services that meet
the financial and/or business needs of our
clients.
AMT Capital's specialty financing program
is designed to finance working capital and
other cash needs for emerging growth companies.
These transactions are very similar to a
private placement whereby a public company
can sell its securities.
Industry sources indicate that more than
300 of the nation's 500 largest corporations
utilize specialty financing for a client
unable or unwilling to fall within the parameters
of conventional lending, receivable financing,
or even venture capital. AMT Capital's
specialty solutions offer a proven and effective
alternative.

Compensation
Structure
AMT
Capital's compensation is structured on
a case-by-case basis taking into consideration
the size, complexity and risk associated
with and comprising each transaction. In
order to best serve a client's needs, AMT
Capital may, in any given situation, act
as an agent, principal, finder or advisor.
In the event AMT Capital acts solely as
an agent, its fee structure typically ranges
from 5% to 10% of the total gross dollar
value of the transaction with associated
warrant coverage. Significantly large
transactions above $100 million as well
as M&A situations, are generally on
a negotiated tiered schedule.
In transactions where AMT Capital acts as
principal, AMT Capital generally structures
its compensation as part of the total transaction.
On a case by case basis, AMT Capital may
request an up front fee or retainer based
upon the size and complexity of the transaction
which is deal specific.
When
a client is publicly owned, AMT Capital
may elect to accept a portion of its compensation
in restricted common stock, common stock
purchase warrants, options to acquire common
stock, or debt convertible instruments.
In those cases where AMT Capital acquires
equity or convertible debt securities as
part of its compensation, it will generally
seek the right to register these securities
by means of an appropriate registration
statement, which can generally be completed
in two to four months.
